9. Indemnification

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Collin County, Texas, and you hereby consent to personal jurisdiction in those courts.

11. Dispute Resolution

Before filing any formal legal action, you agree to contact BloomTech in writing to describe the nature of the dispute and seek informal resolution. BloomTech will attempt to resolve any dispute within 30 days of receiving written notice. If the dispute cannot be resolved informally, it may be submitted to binding arbitration under the rules of the American Arbitration Association, unless you opt out by providing written notice within 30 days of first agreeing to these Terms.

12. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BloomTech regarding your use of the Site and supersede all prior agreements, representations, and understandings.
